These Affiliate Program Terms & Conditions (“Terms”) govern participation in the Utzy Naturals Affiliate Program (“Program”). By applying to or participating in the Program, you (“Affiliate,” “you,” or “your”) agree to these Terms.

1. Enrollment

To join the Program, you must submit an application through the Utzy Naturals affiliate platform. Utzy Naturals may accept or reject any application in its sole discretion. Participation is limited to applicants who provide complete, accurate, and truthful information.

You must promptly update your account information if it changes.

2. Affiliate Relationship

You are an independent contractor. Nothing in these Terms creates any employment, agency, partnership, franchise, sales representative, or joint venture relationship between you and Utzy Naturals.

You have no authority to make representations, warranties, or commitments on behalf of Utzy Naturals.

3. Approved Promotional Methods

If approved, you may promote Utzy Naturals using methods Utzy Naturals permits, including approved websites, email newsletters, blogs, podcasts, and social media channels you disclose in your application or later receive approval to use.

You agree to promote the Program in a lawful, ethical, and brand-safe manner.

4. Prohibited Conduct

You may not:

make false, misleading, unsubstantiated, or deceptive claims about Utzy Naturals or Utzy Naturals products

make disease claims, drug claims, cure claims, or other claims that are not permitted by law or not approved by Utzy Naturals

fail to clearly disclose your affiliate relationship where required by law

bid on, purchase, or otherwise use Utzy Naturals brand terms, misspellings, or confusingly similar keywords in paid search without prior written approval

impersonate Utzy Naturals or present yourself as acting on behalf of Utzy Naturals

use spam, unsolicited commercial email, or unlawful text messaging

use malware, spyware, cookie stuffing, forced clicks, fake traffic, bots, or fraudulent attribution methods

post on coupon, cashback, loyalty, rebate, or deal sites unless expressly approved in writing by Utzy Naturals

use unauthorized promo codes, expired offers, or misleading discount language

engage in self-referrals, self-purchases for commission, purchases on behalf of household members for commission, or any transaction intended primarily to generate affiliate fees

create social media accounts, domains, or handles that include Utzy Naturals trademarks or are likely to confuse consumers

copy Utzy Naturals website content, images, reviews, testimonials, or creative assets in a misleading way or without permission

engage in any conduct that damages the reputation of Utzy Naturals or violates applicable law, platform rules, or advertising standards

5. FTC and Other Required Disclosures

You must clearly and conspicuously disclose your material relationship with Utzy Naturals in any endorsement, review, recommendation, or promotional content. Disclosures must be easy to notice and understand.

Examples include:

“I may earn a commission from qualifying purchases.”

“Sponsored by Utzy Naturals.”

“This post contains affiliate links.”

You are solely responsible for ensuring your content complies with all applicable advertising, endorsement, privacy, and consumer protection laws.

6. Brand Guidelines and Claims

You may use Utzy Naturals-approved branding, product names, and creative assets solely for participation in the Program and only in the form approved by Utzy Naturals.

You may not alter Utzy Naturals trademarks, logos, product labels, claims, or approved marketing materials in a misleading manner. All goodwill arising from use of Utzy Naturals intellectual property belongs exclusively to Utzy Naturals.

Utzy Naturals may require you to modify or remove content at any time.

7. Tracking and Attribution

Commissions are tracked through Refersion or another designated platform using unique affiliate links, cookies, and other attribution methods.

Utzy Naturals is not responsible for tracking failures caused by browser settings, cookie blocking, ad blockers, technical malfunctions, incorrect link formatting, platform outages, or other factors outside the reasonable control of Utzy Naturals.

The determination by Utzy Naturals of attributed sales, returns, cancellations, and commission eligibility is final.

8. Commissions

Affiliate commission rates, payout thresholds, lock periods, and payout timing will be communicated through the affiliate dashboard, program materials, or a separate written schedule, and may be updated by Utzy Naturals from time to time.

Unless otherwise stated in writing:

commissions are earned only on qualified, completed sales

no commission is paid on canceled, refunded, charged-back, fraudulent, duplicate, or self-referred orders

taxes, shipping charges, gift card purchases, and other excluded amounts are not commissionable unless Utzy Naturals states otherwise

commissions may be reversed or withheld if an order is returned, refunded, disputed, flagged for fraud, or found to violate these Terms

9. Payment

Commissions are paid only after the applicable lock period and only if your account is in good standing and you have provided all required payment and tax information.

Utzy Naturals may withhold payment while investigating suspected fraud, policy violations, suspicious traffic, improper claims, or compliance issues.

10. Taxes

You are solely responsible for any taxes arising from payments you receive under the Program. Utzy Naturals may require tax forms or other documentation before issuing payments.

11. Compliance Monitoring

Utzy Naturals may monitor your promotional activity for compliance with these Terms, including review of websites, social media, paid ads, and other traffic sources. You agree to cooperate with reasonable compliance requests from Utzy Naturals.

12. Confidentiality

Any non-public information provided by Utzy Naturals regarding commissions, strategies, product launches, pricing, customer data, or internal materials is confidential and may not be disclosed or used except as necessary for authorized participation in the Program.

You may not access, collect, or use customer personal information except as lawfully made available to you and expressly authorized by Utzy Naturals.

13. Term and Termination

These Terms begin when Utzy Naturals accepts you into the Program and continue until terminated by either party.

Utzy Naturals may suspend or terminate your participation at any time, with or without notice, if Utzy Naturals believes you have violated these Terms, applicable law, or brand standards, or if Utzy Naturals discontinues the Program.

Upon termination, you must immediately stop using Utzy Naturals affiliate links, trademarks, creative assets, and promotional materials.

14. Effect of Termination

Upon termination:

unpaid commissions tied to violations, fraud, or disallowed conduct may be forfeited

Utzy Naturals may withhold payment for a reasonable period to verify legitimate transactions

provisions that by nature should survive termination will survive, including confidentiality, intellectual property, disclaimers, limitations of liability, indemnification, and dispute provisions

15. Disclaimer

The Program, affiliate platform, and all related materials are provided “as is” and “as available.” To the fullest extent permitted by law, Utzy Naturals disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Utzy Naturals does not guarantee uninterrupted operation, specific conversion rates, or any minimum level of earnings.

16. Limitation of Liability

To the fullest extent permitted by law, Utzy Naturals will not be liable for indirect, incidental, special, consequential, punitive, or lost profits damages arising out of or related to the Program, even if advised of the possibility of such damages.

The total liability of Utzy Naturals arising out of or relating to the Program will not exceed the total commissions paid or payable to you during the six months preceding the event giving rise to the claim.

17. Indemnification

You agree to defend, indemnify, and hold harmless Utzy Naturals and its officers, directors, employees, affiliates, successors, and agents from and against any claims, losses, liabilities, damages, judgments, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

your participation in the Program

your promotional content or methods

your breach of these Terms

your violation of law, third-party rights, or platform rules

18. Governing Law

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Wisconsin, and you consent to their jurisdiction and venue.

19. Modifications

Utzy Naturals may update these Terms at any time by posting revised Terms or otherwise notifying affiliates. Continued participation in the Program after any update constitutes acceptance of the revised Terms.

20. Entire Agreement

These Terms, together with any commission schedules, brand guidelines, policies, and incorporated documents provided by Utzy Naturals, constitute the entire agreement between you and Utzy regarding the Program.
